Head of Structured Offtake Origination

Mandatory criteria:
Significant experience at a senior level in the metals and mining sectors, mining finance, investment, structured finance, commodities finance and/or investment banking with a strong specialization in the mining sector.
Demonstrated experience in the origination, structuring, negotiation and execution of complex financing and investment transactions.
Strong knowledge of financing structures related to the mining and commodities sectors: prepayments, pre-export finance, working capital facilities, secured lending, equity, hybrid instruments, streams, royalties and joint ventures.
Excellent understanding of physical metals trading and offtake agreements, particularly the interaction between financing/investment structures and long-term offtake agreements.
Experience with transactions involving mining assets and international counterparties.
Demonstrated ability to lead complex and multidisciplinary transactional processes, from origination to signing and closing.
Strong skills in financial analysis, commercial negotiation and relationship management with senior interlocutors.
Relevant international professional network in the mining, metals, investment banking, finance and/or commodities sectors.
A proven track record in conducting competitive transactional processes, evaluating mining assets and coordinating external advisors is required. The position requires an ability to combine financial expertise, understanding of mining operations and physical trading issues in order to structure integrated financing/investment/offtake solutions. Experience in interactions with banks, investors, mining companies and executive management on an international scale is also expected.
Excellent professional proficiency in French and English.

Mission:
Within the Project and Financing team of Hartree Metals, the Head of Structured Offtake Origination is responsible for conducting strategic transactions, identifying financing and investment opportunities, with the main objective of securing offtake agreements for products falling within the mandate of Hartree Metals (products traded between mines, smelters and refineries, notably concentrates, blister/anodes and doré), as well as managing the full life cycle of investment and financing operations for the mining portfolio.
The incumbent will lead the development and deployment of Hartree Metals' capabilities in structured origination and investment to support the securing of offtakes. The position requires close collaboration with the Trading, Legal, Tax, Compliance, Credit, ESG, Trade Finance and Accounting teams, as well as with the Mining Investment team of Hartree Partners.

Main responsibilities

1. Origination and identification of opportunities

Lead relationships with investment banks to proactively identify financing and investment opportunities relevant to the Hartree Metals strategy, with the main objective of securing and supporting long-term offtake agreements.
Identify, evaluate and develop opportunities from their own network, Hartree Metals' industry relationships and the development of new relationships.
Develop and maintain an international network with mining companies, developers, financial sponsors, sovereign investors, banks, advisors, governments and other strategic counterparties.
Ensure that the opportunities pursued are aligned with the objective of securing offtake volumes and favorable economic terms for Hartree Metals.
Collaborate with Trading to identify the financing needs of counterparties and situations in which financing or investment solutions can support physical trading opportunities.
Develop and maintain a pipeline of opportunities and regularly inform management of market activity and deal flow.
Represent Hartree Metals to external counterparties and at international conferences in the metals, mining and commodities sectors.

1. Structuring, negotiation and execution of transactions

Lead the structuring and execution of financing and investment transactions related to offtake agreements: prepayments, pre-export finance, working capital facilities, secured loans, equity, hybrid instruments, streams, royalties, joint ventures and other bespoke structures. Lead transactions initiated directly or via investment banking processes, from initial analysis, including the evaluation of the offtake opportunity, to signing and closing, and actively participate in transactions from other channels.
Work closely with Trading to design and execute integrated financing and offtake structures tailored to the commercial needs of counterparties, considering financing and offtake terms holistically in order to optimize economic value between trading margins, financing and investment returns, commissions and optionality.
Lead and coordinate commercial, financial, technical, legal, tax, ESG and other due diligences, with internal teams and external advisors, to validate key assumptions, identify risks and determine the transaction structure.
Be responsible for the end-to-end negotiation process, including term sheets, definitive agreements and closing conditions.
Prepare and present transaction proposals to the relevant internal approval committees.
